1. Scope and Applicability

• All Authorized Distributors and Authorized Wholesalers of Supremacy International.

2. Authorization as Authorized Distributor or Authorized Wholesaler

Application to become an Authorized Distributor or Authorized Wholesaler is subject to Company evaluation, verification, and approval.

Authorization is deemed granted only upon issuance of an official Authorized Distributor or Authorized Wholesaler Identification Number (ID) and activation of the account by the Company.

The Company reserves the right to approve, deny, suspend, or revoke authorization at its sole discretion, subject to applicable laws.

3. Completion of Registration

An applicant shall be considered an Authorized Distributor or Authorized Wholesaler only after:

• Submission of all required information and documents;
• Completion of payment requirements, if any; and
• Official account activation by the Company.

Failure to complete registration requirements within the prescribed period may result in suspension or cancellation of the application.

4. Independent Contractor Relationship

Authorized Distributors and Authorized Wholesalers are independent contractors.

Nothing in these Terms shall be construed as creating an employer–employee relationship, partnership, joint venture, agency, or franchise between the Company and any Authorized Distributor or Authorized Wholesaler.

Authorized Distributors and Authorized Wholesalers:

• Have no authority to bind the Company;
• Are solely responsible for their own business decisions, expenses, permits, and licenses; and
• Are responsible for compliance with all applicable tax and regulatory requirements.

5. Compliance With Company Policies

All Authorized Distributors and Authorized Wholesalers agree to strictly comply with:

• These Terms and Conditions;
• The Company’s Product & Distributor Policy;
• The Company Policy and Code of Conduct;
• Official Company announcements, guidelines, and issuances.

The Company may amend its policies at any time. Continued participation constitutes acceptance of such amendments.

6. Prohibited Representations

Authorized Distributors and Authorized Wholesalers shall not:

• Guarantee or promise income, profits, or success;
• Represent the business as an investment scheme;
• Make false, misleading, or exaggerated claims regarding products or earnings;
• Use unauthorized Company materials, branding, or marketing content.

All representations must strictly follow official Company materials.

7. Compensation and Earnings

Any compensation, incentives, or benefits earned by Authorized Distributors and Authorized Wholesalers are based solely on:

• Actual product sales;
• Compliance with Company requirements; and
• The applicable compensation or incentive structure issued by the Company.

No income or earnings are guaranteed. Individual results may vary.

8. Accounts and Inactivity

The Company reserves the right to suspend, deactivate, or terminate accounts of Authorized Distributors or Authorized Wholesalers that:

• Remain inactive for a prolonged period; or
• Violate Company policies or applicable laws.

9. Non-Transferability

Authorization, accounts, incentives, and rights granted to Authorized Distributors and Authorized Wholesalers are non-transferable and may not be sold, assigned, or transferred without prior written consent from the Company.

10. Confidentiality

Authorized Distributors and Authorized Wholesalers shall keep confidential all proprietary and non-public Company information, including but not limited to:

• Business strategies;
• Sales data;
• Compensation structures; and
• Internal communications.

This obligation survives termination.

11. Suspension and Termination

The Company may suspend or terminate access, authorization, or accounts of any Authorized Distributor or Authorized Wholesaler for violations of:

• These Terms;
• Company policies; or
• Applicable laws.

Termination shall be without prejudice to the Company’s right to pursue legal remedies where warranted.

12. Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, or special damages arising from the use of the website, products, services, or participation as an Authorized Distributor or Authorized Wholesaler.

13. Modifications to Terms

The Company reserves the right to modify or update these Terms at any time. Changes take effect immediately upon posting on the website. Continued use constitutes acceptance of the revised Terms.

14. Entire Agreement

These Terms, together with all incorporated Company policies, constitute the entire agreement between Supremacy International and its Authorized Distributors and Authorized Wholesalers with respect to website use and participation in Company programs.
