I. PRELIMINARY STATEMENT

This Company Policy, Rules, and Code of Conduct (“Policy”) governs all business transactions, marketing activities, incentives, conduct, and relationships involving Supremacy International Corporation (the “Company”) and its Authorized Distributors and Authorized Wholesalers.

This Policy forms an integral and binding part of the contractual relationship between the Company and each Authorized Distributor or Authorized Wholesaler. By applying for, maintaining, or using any account, incentive, or privilege, the Authorized Distributor or Authorized Wholesaler confirms that he/she has read, understood, and agreed to comply with this Policy, as amended from time to time.

The Company reserves the right to interpret, enforce, amend, revise, or modify this Policy at its sole discretion, subject to applicable laws of the Republic of the Philippines.

II. DEFINITION OF TERMS

For purposes of this Policy:

Company – Supremacy International Corporation

Authorized Distributor / Authorized Wholesaler (AD/AW) – A qualified individual or juridical entity approved by the Company to distribute its products on a non-exclusive basis

Applicant – Any individual or entity applying to become an Authorized Distributor or Authorized Wholesaler

Sponsor – An Authorized Distributor or Authorized Wholesaler who directly introduces an Applicant

Sales Group – The organization formed under an Authorized Distributor or Authorized Wholesaler

Inactive Account – An account with no qualifying activity for the period prescribed by the Company

Confidential Information – All proprietary, operational, financial, marketing, strategic, and business data of the Company

Other operational terms shall be interpreted in accordance with official Company issuances.

III. APPLICATION AND ELIGIBILITY

Any natural person at least eighteen (18) years old, or any juridical entity duly registered with the Securities and Exchange Commission (SEC), may apply to become an Authorized Distributor or Authorized Wholesaler, subject to Company evaluation.

Approval of any application is not automatic and remains subject to Company discretion.

An Authorized Distributor or Authorized Wholesaler may maintain only the number of accounts expressly allowed by the Company.

Submission of false, misleading, or incomplete information constitutes grounds for immediate denial, suspension, or termination.

IV. STATUS AND RELATIONSHIP

Authorized Distributors and Authorized Wholesalers are independent contractors.

No employer-employee, partnership, franchise, joint venture, or agency relationship exists between the Company and any Authorized Distributor or Authorized Wholesaler unless covered by a separate written agreement duly executed by the Company.

Authorized Distributors and Authorized Wholesalers have no authority to bind or represent the Company.

V. PRIVILEGES AND COMPENSATION

Authorized Distributors and Authorized Wholesalers may engage in the direct selling of Company products in accordance with Company policies.

Compensation, incentives, rebates, and benefits are governed by the official Compensation Plan and are not guaranteed.

All privileges automatically cease upon suspension, deactivation, or termination of authorization.

VI. PROHIBITED ACTS

The following acts are strictly prohibited and shall be subject to disciplinary action:

• Cross-lining, unauthorized re-sponsoring, or account manipulation
• Selling products below or above Company-prescribed pricing policies
• Bonus buying, dummy accounts, or fictitious registrations
• Misrepresentation of products, income, or the business model
• Fraud, dishonesty, harassment, intimidation, or coercion
• Unauthorized use of Company trademarks, logos, or materials
• Representing the Company as an investment or guaranteed-income scheme

VII. MARKETING AND ONLINE CONDUCT

Authorized Distributors and Authorized Wholesalers must market Company products ethically, honestly, and lawfully.

Health, medical, therapeutic, or curative claims are strictly prohibited unless expressly approved in official Company materials.

Online and social media pages must clearly identify the Authorized Distributor or Authorized Wholesaler and comply with Company guidelines.

The Company shall not be liable for unauthorized online transactions or representations.

VIII. CONFIDENTIALITY AND INTELLECTUAL PROPERTY

All Company intellectual property remains the exclusive property of the Company.

Confidential Information must not be disclosed during or after affiliation.

Any violation constitutes a grave offense and may result in immediate termination and legal action.

IX. INACTIVITY, TRANSFER, AND REACTIVATION

Accounts may be declared inactive based on Company-defined criteria.

Reactivation requires compliance with current Company requirements.

Accounts may not be sold, transferred, or renamed without prior written approval from the Company.

X. SUSPENSION AND TERMINATION

The Company may suspend or terminate any account for violations of this Policy, the Terms and Conditions, or other Company rules.

Termination may be immediate and may include forfeiture of incentives and privileges, subject to applicable law.

Any post-termination restrictions shall apply only to the extent allowed by Philippine law.

XI. TRAVEL INCENTIVES AND PROMOTIONS

Travel incentives are non-transferable and non-convertible to cash.

Failure to comply with travel rules may result in penalties or disqualification.

Cancellation and no-show fees shall apply as officially announced.

XII. TAXATION

Authorized Distributors and Authorized Wholesalers are solely responsible for:

• Business registration
• Filing of tax returns
• Payment of applicable national and local taxes

All incentives are gross of taxes, and applicable withholding may apply.

XIII. INDEMNITY

Authorized Distributors and Authorized Wholesalers agree to indemnify and hold the Company harmless from all claims, liabilities, losses, damages, or expenses arising from their acts, omissions, or violations of Company policies or applicable laws.

XIV. GOVERNING LAW

This Policy shall be governed by and construed in accordance with the laws of the Republic of the Philippines.

XV. ACKNOWLEDGEMENT

By continuing participation as an Authorized Distributor or Authorized Wholesaler, the individual or entity confirms acceptance of this Policy and all future amendments.
